Agreement to Terms

By accessing or using the services provided by Darkslight Technologies, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

Our Services

Darkslight Technologies provides mobile app development, web development, and related software development services. Our unique "Service First, Pay Later" model means:

• We complete your project before requesting payment
• You have the opportunity to review and test the deliverables
• Payment is due only after you are satisfied with the work
• All terms, timelines, and pricing are agreed upon before project commencement

Project Engagement

Scope of Work

Each project will have a clearly defined scope of work, including deliverables, timelines, and payment terms. Any changes to the scope must be agreed upon in writing by both parties.

Client Responsibilities

Clients are responsible for:

• Providing accurate and complete project requirements
• Timely feedback and approvals
• Providing necessary access to systems, accounts, or resources
• Payment upon project completion and approval

Intellectual Property

Upon full payment, all intellectual property rights for the custom work created specifically for your project will be transferred to you. This includes:

• Source code
• Design files
• Documentation
• Custom graphics and assets

We retain the right to use general knowledge, skills, and experience gained during the project. Third-party libraries, frameworks, and tools remain under their respective licenses.

Payment Terms

Under our "Service First, Pay Later" model:

• No upfront payment is required
• Payment is due within 7 days of project delivery and approval
• Accepted payment methods will be specified in the project agreement
• Late payments may incur additional charges as specified in the agreement

Warranties and Disclaimers

We warrant that:

• Services will be performed with professional skill and care
• Deliverables will substantially conform to agreed specifications
• We have the right to provide the services

Services are provided "as is" without any other warranties, express or implied. We do not guarantee that services will be uninterrupted or error-free.

Limitation of Liability

To the maximum extent permitted by law, Darkslight Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to our services.

Termination

Either party may terminate the engagement with written notice. Upon termination, payment will be due for work completed up to the termination date, as mutually agreed.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Chennai, India.
